Job Title: Corporate Legal Counsel

Location: Lagos
Employment Type: Full-time
Reports to: Chief Executive Officer

Job Description

  • This role is to ensure the Group adheres to legal standards and in-house policies.
  • The role is also responsible for enforcing regulations in all aspects and levels of the business as well as providing guidance on legal and compliance matters.
  • The goal is to preserve the company’s integrity by making sure it stays on a lawful and ethical course.

Responsibilities
Legal Functions:

  • Prepare and monitor the goals/strategies for the Legal & Compliance department
  • Oversee the formulation of legal functions and strategies to ensure minimal interruptions to company operations from third parties
  • Provide legal advice on all business transactions with third parties including all legal documents and publications to avoid or minimize exposure to potential litigation
  • Attend business and transactional meetings with different business units, department and affiliate companies with a view to providing legal guidance to the transactions and businesses
  • Work closely with the Contract Specialist to coordinate the drafting, vetting, and review of all legal documents and agreements relating to all operations within the Group (e.g. supplier/vendor contracts, insurance contracts, employee contracts, service level agreements) and ensure company standards are properly complied with before signing new deals/executing the agreements
  • Conduct training and presentation to Management on various legal aspects of the businesses with a view to achieving legal compliance.
  • Oversee the preparation of legal guidelines for projects to mitigate against possible litigation, arbitration, staff and/or community unrest and other situations capable of disrupting company operations
  • Monitor changes in relevant legislation and the regulatory environment, and advise management on current legislation, regulatory issues, or legal risks that might impact the Group’s strategies and operations
  • Liaise with the Group’s attorneys/external legal service providers to defend the company in all litigation cases and ensure the company’s interests are protected at all times.

Company Secretarial functions:

  • Prepare and submit briefs for consideration of the Executive management to aid in decision making as well as attend the Management meetings where required.
  • Provide legal advice and secretarial services to the Group on compliance with applicable rules and regulations
  • Propose corporate governance structures for the Group
  • Provide legal and corporate governance advice to the Executive Management and Board (where required) on decisions reached at meetings.
  • Recommend, draft and file resolutions of the Board or Shareholders’ meetings as may be required
  • Draft and review governance and other policies for the Group
  • Provide advice to the Board on best corporate governance practices that can or might be adapted as well as changes in regulations when they arise

Compliance Functions:

  • Evaluate the efficiency of controls and improve them continuously
  • Review procedures, reports etc. periodically to identify hidden risks or non-conformity issues
  • Draft, modify and implement company policies in conjunction with the HR team
  • Liaise with Government agencies to ensure that the Group obtains relevant licenses, permits and approvals for business operations
  • Assess the business’s future ventures to identify possible compliance risks
  • Review the work of colleagues when necessary to identify compliance issues and provide advice or training where needed
  • Keep abreast of regulatory developments within and outside of the company as well as evolving best practices in legal compliance
  • Prepare reports for senior management and external regulatory bodies as appropriate.

General Function:

  • Perform any other duty that may be assigned by the CEO.

Requirements

  • Bachelor’s Degree in Law.
  • Licensed to practice law from the State Bar Association.
  • 7-10 years’ experience as a corporate lawyer.
  • Excellent communication skills, both verbally and in writing.
  • Highly analytical with strong attention to detail.
  • Outstanding managerial and negotiation skills.

Job Title: Piping and Layout Engineer / PDMS Modeler

Location: Lagos

Job Responsibilities

  • Analyse technical documents (e.g. specifications, calculation notes, drawings) to assess the scope of the studies required and the potential risks.
  • Estimate quantities or validate estimation done by other specialist of the team.
  • Check all produced documents (internal or subcontracted) like design reports, technical specifications, drawings under responsibility.
  • Write the Piping and Layout methodologies / Design Premises comprehensive of all necessary data, general and specific design guidelines.
  • Ensure the achievement of assigned goals and the fulfilment of project quality requirements and contractual obligations.
  • Analyse project technical documents to validate consistency between the budget, resources and means allocated for the work completion and the targets to be met.
  • Monitor and report actual progress including 3D / check for Discipline activities, includ ing control of men-hours and delivered documents.
  • Control the input data for team activities and check/review all documents issued by the team.
  • Provide technical support to Procurement, Subcontracting and Construction activities included in the scope of work
  • Supervise the writing of specifications and requisitions as well as technical bid evaluations
  • Inform on a permanent basis the Project Piping and Layout leader of any foreseen technical or financial or delay risk
  • Feed the Piping and Layout Department improvement system by reverting the lessons learned during the project E – Construction and start up.
  • Participate to test circuit verification.

Requirements / Skills

  • Bachelors’ (B.Eng.) Degree in relevant engineering discipline: Mechanical, Metallurgy, Pipeline, Automotive, Aerospace etc.
  • Smart Plant P and ID.
  • Engineering design activities.
  • Good knowledge of PDMS-MDS for Pipe Supports Design.
  • Proficient in Navisworks, AutoCAD and Excel.
  • Experience in LNG.
  • 2D and 3D modelling, Expansion/stress analysis.
  • P and IDs mechanization.
  • Conversant with the relevant Shell GFS or DEPs.
  • Good communication skills in English language.

Job Title: Piping Stress & Pipe Supports Engineer

Location: Lagos

Job Responsibilities

  • To perform detailed, comprehensive stress analysis of medium to complex critical piping systems per applicable codes, standards, and specifications.
  • To analyze (using Caesar II) and interpret stress model outputs, code stresses, displacements, nozzle loads checks, flange leakage checks, dynamic analysis, and pipe support loads.
  • To prepare comprehensive stress analysis reports.
  • To develop Critical Line Lists.
  • To design and select pipe supports, spring hangers.
  • To design special pipe supports (when required)
  • To report and transmit piping loads to civil /structural and prepare foundation lists.
  • To review isometric drawings for Pipe support details.
  • To review relevant vendor documents and perform technical evaluations.
  • To support the piping designers in implementing specific piping stress and pipe supports related design modifications.
  • To check and review sub-contractors’ documents in accordance with the project specifications for pipe stress analysis and pipe supports.
  • Interdisciplinary interactions to resolve engineering design issues.
  • To assist and advice timely the project piping and layout lead in relevant stress analysis and pipe supports issues.

Job Requirements

  • Bachelors (B.Eng.) Degree in relevant engineering discipline: Mechanical, Metallurgy, Pipeline, Automotive, Aerospace etc.
  • At least 5 years work experience.
  • Good knowledge of Piping layout design and Pipe Supports.
  • Good knowledge of material science and selection
  • Proficient in the use of Caesar II for Pipe Stress Analysis.
  • Good knowledge of PDMS-MDS for Pipe Supports Design
  • Proficient in Navisworks, AutoCAD and Excel.
  • Experience in LNG, Cryogenic Systems, two phase flows and vibration analysis.
  • Very good analytical skills
  • Ability to work alone, with little or no supervision.

  • Minimum of 5 years of general construction estimating experience, financial experience, construction experience, or related field
  • Proficient in computer skills and Microsoft Office Suite
  • Able to analyze financial records and apply data to improved results
  • Strong aptitude for numbers, spreadsheets, and financial reports
  • Experienced at compiling and following strict budgets, strong estimating and financial analysis skills
  • In-depth understanding of construction, materials, pricing, and industry
  • Able to analyze problems and strategize for better solutions.

Job Description
